Welcome to NextUnicorn.Fund. These Terms of Use ("Terms") govern your access to and use of the nextunicorn.fund website, platforms, and services, including our Idea 2 Unicorn, Accelerator, Co-Founder Match, Mentorship, and VC Fund programs (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our website or apply to our Funding programs.

1. Acceptance of Terms & Eligibility

By using the Services, you represent that you are at least 18 years of age and possess the legal authority to form a binding contract. If you are using the Services on behalf of a company, startup, or other legal entity, you represent that you have the authority to bind that entity to these Terms.

2. Description of Services

NextUnicorn.Fund is a Tech Enabling American VC Fund, Accelerator, and Mentorship platform. We provide resources, guidance, and potential funding opportunities for startups at various stages (Idea, Team Formation, Early Traction, Growth & Scaling, and Global Expansion).

Applying to our programs does not guarantee acceptance, mentorship, or funding. All admissions and funding decisions are made at the sole discretion of NextUnicorn.Fund.

3. Use of AI Agents and Automated Systems

A. AI-Generated Outputs & Accuracy Disclaimer: NextUnicorn.Fund utilizes automated Artificial Intelligence (AI) agents to assist users, streamline application workflows, provide preliminary insights, and facilitate platform interactions. Because these systems rely on machine learning algorithms, any responses, summaries, scores, or information generated by our AI agents are provided strictly on an "as-is" and "as-available" basis. We do not guarantee, warrant, or assume any legal responsibility for the accuracy, completeness, reliability, or timeliness of any AI-generated outputs.

B. Finality of Conclusions & Level 3 (L3) Calls: No automated response, AI-driven analysis, score, or preliminary digital communication from the platform constitutes a binding evaluation, contractual offer, investment commitment, or final business conclusion. Any and all definitive conclusions, official program admissions, or funding decisions are strictly conditional upon, and finalized exclusively through, a formal Level 3 (L3) call conducted by our human management and investment team. Users agree not to rely on any automated or AI-generated output as a final decision.

4. User Content and Confidentiality

A. Submission of Materials: When you apply for our programs, you may submit pitch decks, business plans, financial projections, and other materials ("User Content"). You retain all ownership rights to your User Content.

B. License to Review: By submitting User Content, you grant NextUnicorn.Fund, our evaluation committees, mentors, and co-investors a non-exclusive, royalty-free, worldwide license to use, review, and evaluate your materials strictly for the purpose of assessing your suitability for our programs and potential investment.

C. No Non-Disclosure Agreement (NDA): Due to the high volume of applications and overlapping business ideas we receive, NextUnicorn.Fund does not sign NDAs for initial applications. While we treat your information with professional discretion, we cannot guarantee absolute confidentiality of unpatented concepts or general business ideas submitted through the website.

5. Intellectual Property Rights

All content, design, graphics, text, logos, and software on the NextUnicorn.Fund website (excluding your User Content) are the exclusive property of NextUnicorn.Fund or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not copy, reproduce, modify, or distribute our intellectual property without our prior written consent.

6. Prohibited Conduct

When using our Services, you agree not to:

  • Submit false, inaccurate, or misleading information about yourself or your startup.
  • Attempt to interfere with, compromise the system integrity, or decipher any transmissions to or from our servers, including our AI agents.
  • Use the platform for any illegal, harmful, or fraudulent activities.
  • Harass, abuse, or harm another person, including our staff, mentors, or other founders.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEXTUNICORN.FUND, ITS AFFILIATES, MENTORS, PARTNERS, AND EMPLOYEES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

(A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES;

(B) ANY DECISIONS MADE BASED ON AUTOMATED/AI FEEDBACK PRIOR TO A LEVEL 3 (L3) CALL;

(C) ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

8. Disclaimer of Warranties

YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. NEXTUNICORN.FUND EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Delaware, and you hereby consent to the personal jurisdiction and venue therein.

We reserve the right to modify or replace these Terms at any time. We will post the most current version on our website. By continuing to access or use the Services after revisions become effective, you agree to be bound by the revised Terms.
